Bell Gully provides advice on the establishment of new schemes as well as the potential impact of takeovers, mergers and acquisitions and other corporate actions on existing schemes. Structuring a scheme to best meet the objectives of the issuer as well as maximise appropriate incentives to employees is often the key decision and we can assist you with those decisions.

The team regularly work with employee benefits lawyers in other jurisdictions to assist global businesses to extend their schemes to New Zealand in an efficient and cost effective manner.

We can assist start up or growth companies to identify the best way to incentivise key employees through the next phase of a company’s development.

Staying on top of changes in securities and tax legislation and market practice is a focus of our employee share scheme team. We have already assisted several clients with the transition to the new disclosure requirements under the new securities law regime which has been introduced with the Financial Markets Conduct Act 2013.

Glenn Joblin, a partner within the corporate team, is the New Zealand author of Employee Share Plans: International Legal and Tax Issues, Second Edition.
