​We provide a comprehensive range of services to leading banks, financial institutions, investment banks, and corporate and sovereign entities. All of our partners have practised as financial services lawyers in either London or New York.

Our team helps structure, negotiate and complete transactions, advising on project financing, capital and credit market issues, derivatives, structured finance, securitisation and other asset-backed financing, cross-border leasing, project financing, investment management and insolvency, as well as having expertise in funds management, superannuation and employee benefit schemes.

Our recognised experts dominate in specialist areas such as securitisations and public private partnerships (PPPs). This work continues to be a particular strength of the teams. Our team also includes New Zealand's only specialist derivatives practice, which is headed by David Craig, who is New Zealand counsel to the International Swaps and Derivatives Association.

​Transmission Gully public private partnership (PPP)
Advised NZ Transport Agency on the procurement of a new Road of National Significance, the NZ$850 million, 27 km long Transmission Gully Motorway, utilising a PPP model.

Pyne Gould Corporation (PGC) recapitalisation
Advised PGC on its NZ$273 million recapitalisation to support it to become a publicly listed banking and asset management company.

Fisher & Paykel Appliances debt restructuring
Advising Fisher & Paykel Appliances on the negotiation of NZ$575 million of new bank facilities with its existing banking group.

Vector Euro medium term note (MTN) programme
Acted for Vector on the establishment of its European MTN programme - the first programme established by a New Zealand el​​ectricity utility and the first programme established by a New Zealand issuer for some years.

New Zealand's emissions trading scheme
Advised the Ministry of Economic Development and the Ministry for the Environment on various aspects of the emissions trading scheme to be introduced in New Zealand.

Rank Group purchase of Alcoa's consumer packaging business
Advised Rank Group on all financing aspects of its acquisition of the consumer packaging business of Alcoa, including co-ordinating financial close in 18 jurisdictions across Europe, Asia and North and South America.

Ironbridge Capital acquisition funding of CanWest MediaWorks (NZ)
Acted for Ironbridge, an Australian private equity firm, on the acquisition of 100% of CanWest MediaWorks (NZ), which operates television and radio stations in New Zealand, including advising on the structuring of the offer and entering into a lock-up agreement with CanWest MediaWorks Ireland on its 70% interest in CanWest MediaWorks.

CBA Asset Holdings (NZ) Limited sale and leaseback
Advised CBA Asset Holdings on the sale and leaseback of the Aratere Ferry and on two aircraft leases.

Fletcher Building's acquisition of Formica and US private placement
Advised Fletcher Building on the funding for its acquisition of US-based Formica, resulting in the creation of the largest global manufacturer of decorative surfaces and high-pressure laminates. We also advised on an issue of long term notes by way of US private placement.

Registration of JPMorgan Chase
Advised JPMorgan Chase on its registration as a bank under the Reserve Bank of New Zealand Act.

World Bank and International Finance Corporation debt issuance programmes
Acted as New Zealand counsel to the World Bank and its affiliate International Finance Corporation on the establishment of their debt issuance programmes in New Zealand and subsequent issues of Kauri bonds.

ANZ National Bank project financing for Synlait
Advised ANZ National Bank on the limited recourse funding for construction of a milk processing plant by Synlait.

MARAC Finance securitisation
Advised MARAC Finance on the establishment of a securitisation programme for the funding of consumer and commercial receivables.

Infratil acquisition of Trustpower
Advised ANZ National Bank on funding for the acquisition by Infratil of a controlling shareholding in Trustpower.

Rabobank New Zealand dollar issue capability for medium-term note (MTN) programme
Acted for Rabobank on the establishment of a New Zealand dollar issue capability for its Australian dollar MTN programme.

Tauranga Energy Consumer Trust issue of redeemable preference shares
Advised ANZ National Bank in an issue of redeemable preference shares by Tauranga Energy Consumer Trust.

Syndicated refinancing for SKYCITY
Advised SKYCITY on its NZ$400 million syndicated refinancing. The entertainment and gaming business sought to negotiate new and extended flexible funding facilities on attractive terms in a number of areas. This included the NZ$400 million syndicated bank facility split into three and five year tenors and a US$175 million private placement.
