Expertise

Jesse is an experienced commercial litigator with expertise in company and shareholder disputes, regulatory investigations (particularly in securities law matters), competition law, class actions, and contractual disputes.

Jesse has significant advocacy experience in leading trials and appeals, and his litigation experience covers all courts, arbitration, adjudications, and mediation. Jesse holds a Master of Laws degree from Stanford Law School.

Advising Fletcher Construction on court and arbitral proceedings arising out of the fire at the New Zealand International Convention Centre.

Class actions

Acting in the High Court and Court of Appeal for 3A Composites in relation to an attempted class action, and for Johnson & Johnson and Kenvue entities in relation to an attempted class action regarding cold and flu products.

Winstone Wallboards competition litigation

Acting for Winstone Wallboards defending claims under the Commerce Act regarding rebate arrangements.

EQT/Metlifecare litigation

Advised EQT in defending a claim for alleged repudiation of a NZ$1.49bn takeover of Metlifecare.

Court approved schemes of arrangement

Advised (variously) EQT, BGH, Ampol, and StonePeak as bidder's counsel in court-approved schemes of arrangement including for the acquisition of Metlifecare and Abano Healthcare, Z Energy, Pushpay, and Arvida.

Takeovers Code

Acted for parties in numerous matters before the Takeovers Panel, including for Synlait Milk.

Regulatory investigations and enforcement actions

Acted for parties in numerous investigations by NZ RegCo and FMA, particularly regarding continuous disclosure.

Vendor warranty claims arising from M&A transactions

Acting in court proceedings relating to substantial warranty claims under sale and purchase agreements.
