Archer Capital acquisition of New Zealand Pharmaceuticals
Advised Archer Capital on the funding for its acquisition of the New Zealand Pharmaceuticals business.

Blackstone Group acquisition of Burger King
Advised Blackstone Group on all aspects of the funding for its purchase of the Burger King business in New Zealand.

BNZ on acquisition financing for Sleepyhead
Advised BNZ as lead arranger on acquisition financing provided to Sleepyhead, the New Zealand bed manufacturer on the acquisition of assets in Australia. The multi-million dollar transaction saw Sleepyhead buying the Sleepmaker bedding business (including the Simmons and Dunlopillo brands) and flexible foam manufacturer, Dunlop Foams, from Pacific Brands and selling its Wonderlay carpet underlay business to Pacific Brands.

Mainfreight acquisition of Wim Bosman Group
Advised New Zealand logistics company Mainfreight, on the NZ$205 million acquisition of Netherlands-based Wim Bosman. Debt funded cross-border acquisitions of this nature have been relatively rare in the New Zealand market in recent years. This acquisition was negotiated and completed in a short timeframe which involved obtaining shareholder approval at a special shareholder meeting of Mainfreight shareholders at which no proxies or shareholders voted against the transaction. It also involved negotiation of acquisition funding and a full refinance of existing facilities on a very tight timetable.

BNZ financing of CallPlus acquisition
Acted for BNZ on the financing of CallPlus's acquisition of rival internet company, Orcon, valued at NZ$42 million.

Rank Group purchase of Alcoa's consumer packaging business
Advised Rank Group on all financing aspects of its acquisition of the consumer packaging business of Alcoa, including co-ordinating financial close in 18 jurisdictions across Europe, Asia and North and South America.

Ironbridge Capital acquisition funding of CanWest MediaWorks
Acted for Ironbridge, an Australian private equity firm, on the acquisition of 100% of CanWest MediaWorks (NZ) (which operates television and radio stations in New Zealand), including advising on the structuring of the debt and the negotiation of senior, mezzanine and PIK (Payment In Kind) debt arrangements.

Fletcher Building's acquisition of Formica and US private placement
Advised Fletcher Building on the funding for its acquisition of US-based Formica, resulting in the creation of the largest global manufacturer of decorative surfaces and high-pressure laminates. We also advised them on an issue of long term notes by way of US private placement.

Infratil acquisition of Trustpower
Advised ANZ National Bank on funding for the acquisition by Infratil of a controlling shareholding in Trustpower.

Pacific Equity Partners acquisitions
Advised Pacific Equity Partners on its NZ$250 million acquisition of New Zealand's largest poultry producer Tegel Foods. The transaction involved senior, subordinated and mezzanine note issues with Westpac, Bank of Scotland and Intermediate Capital Group.

Advised Pacific Equity Partners on its NZ$385 million acquisition of biscuit manufacturer Griffins. The transaction involved senior, subordinated and bridge facilities provided by ANZ National Bank and Deutsche Bank. ​
