We advise originators, arrangers, funders, trustees, and rating agencies on securitisation programmes and other structured finance transactions across asset classes in New Zealand. We have helped shape New Zealand securitisation market practice, developing many of the key features that are now industry standard.

Our team also includes New Zealand's only specialist derivatives practice, acting as New Zealand opinions counsel to the International Swaps and Derivatives Association and the International Capital Market Association. We participated in the development of New Zealand's carbon trading and derivative market, being involved in the Emissions Trading Scheme since its establishment.

We contribute to market development through policy engagement, law reform submissions, and education initiatives. Bell Gully co-founded the New Zealand Sub-Committee of the Australian Securitisation Forum, now the leading advocacy body in the New Zealand securitisation market.

Motor Trade Finance

Advised the originator on the establishment of a master trust securitisation programme including the establishment of warehouse trusts and multiple rated term trusts.

Equipment Leasing & Finance

Advised the originator on the establishment of a master trust securitisation programme including the establishment of two warehouse trusts.

Humm Group

Advised the originator on the establishment of a rated Revolving Asset Backed Note Programme established under a master trust structure for consumer receivables and a master trust securitisation programme and warehouse trust for non-consumer receivables.

Latitude Financial Services

Advised the funders under a master trust structure established to hold pools of >NZ$1bn sales finance and credit card receivables and personal loans acquired from GE.

Bluestone Group – Warehouse Trust and Term Trusts

Advised Bluestone on all aspects of its residential mortgage-backed programme including multiple warehouse trusts and rated term trusts under a master trust structure.
