Jonathan specialises in corporate and securities law and banking and finance. His practice has a predominant cross-border focus.
Jonathan acts regularly for private equity sponsors and banks providing finance to private equity sponsors. He also acts for a number of local start-up companies that have been bought by or sold substantial shareholdings to overseas funds and other entities.
He regularly advises overseas financial institutions on regulatory issues arising out of the marketing and offering to New Zealand investors of a wide range of securities, derivatives and other investment products and services. He regularly advises New Zealand and overseas banks and financial institutions on legal and regulatory issues arising out of swaps and derivatives transactions. He has acted for ISDA in New Zealand for many years. He speaks regularly on netting and derivatives issues.
Jonathan has extensive experience of the international project and structured finance, securitisation and capital markets.
Jonathan's specialist telecommunications experience includes acting for a major carrier in New Zealand on interconnection, competition law and policy and intellectual property issues.
He attended Oxford University on a Rhodes Scholarship and has worked in the international finance section of a leading London firm and in corporate finance at a leading Wall Street law firm.
He has published many articles and written chapters in text books on a wide range of capital markets and corporate law issues.
Jonathan is listed as a leading individual in corporate/commercial and M&A law by Asia Pacific Legal 500 2007/2008. Who's Who Legal 2008 recognises him as a leading individual in banking and capital markets, and IFLR1000 2007 recognises him as a world leading lawyer in banking, project finance, structured finance and securitisation.
