The Treasury

New Zealand's 2020 emission target: Treasury advice
International negotiations on a climate change agreement to follow the Kyoto Protocol are due to conclude in Copenhagen in December 2009. One of the critical decisions to be made by the government in this context is New Zealand's 2020 emission reduction target. On 10 August 2009 Climate Change Ministers Nick Smith and Tim Groser announced an emissions reduction target range of 10% to 20% below 1990 levels by 2020. The Treasury has released documents comprising its advice to the Minister of Finance relating to this decision.

New overseas investment office fees set
The Overseas Investment Office's fees to assess applications are to increase from 3 September 2009, under the Overseas Investment Amendment Regulations (No.2) 2009. The fee increases will apply to:

  • applications relating to investments in sensitive land and significant business assets;
  • applications for exemptions; and
  • the provision of information or services.

The fee for an application relating to overseas investments in fishing quota remains unchanged.

Government Statement on Regulation: Better regulation, less regulation
A new Government Statement on Regulation was issued on 17 August 2009 to lift the quality of regulation in New Zealand. The commitments in the Government Statement on Regulation provide a response to the Job Summit's recommendation that the government delay introducing any new regulation that imposes additional substantive costs on business during the next 12 months. They are namely that the government:

  • will only introduce new regulation when it is satisfied that it is required, reasonable, and robust;
  • will review existing regulation in order to identify and remove requirements that are unnecessary, ineffective or excessively costly,

To assist the government meet its commitments, stakeholders will be able to provide feedback on the MED's Business Consultation website: www.businessconsultation.govt.nz. MED, in consultation with the Treasury, will provide quarterly reports to the Ministers of Finance and Regulatory Reform on the issues raised by stakeholders, and how the relevant departments have responded.

The Reserve Bank of New Zealand

First exemption notice for deposit takers
The Deposit Takers (Credit Ratings Minimum Threshold) Exemption Notice 2009 came into force on 7 August 2009 and exempts certain deposit takers from having a mandatory credit rating, under Part 5D of the Reserve Bank of New Zealand Act 1989. This exemption is available if the consolidated liabilities of the deposit taker are less than $20 million (measured as an average over a 12-month period). The exemption notice outlines certain conditions that a deposit taker must comply with in order to benefit from this class exemption.

Ministry of Economic Development (MED)

Electricity market review released
The preliminary recommendations of the Ministerial Review of Electricity Market Performance were released for public consultation on 12 August 2009. The review was conducted by the Technical Advisory Group appointed by the government in April 2009 with assistance by MED officials. The review team was asked to assess the performance of the electricity market, institutions and governance to date; identify problem areas; assess to the degree possible the costs and benefits of different reform options; and make recommendations to improve electricity market performance.

The review team's recommendations include:

  • making governance improvements with the Electricity Commission being replaced with an Electricity Market Authority;
  • allowing line companies back into retailing;
  • providing for compensation payments to consumers if they face conservation campaigns; and
  • reallocating assets among state-owned enterprise generator-retailers to increase competition in wholesale and retail markets.

Submissions on the discussion document close on 16 September 2009 and the government expects to make final decisions on the reform of the electricity sector by the end of the year. It is expected that legislation will be required to implement final recommendations.

Capital Market Development Taskforce identifies big issues ahead
The Capital Market Development Taskforce has released a further progress report identifying, among other things, a number of major issues facing New Zealand's capital markets. The report outlines the framework the taskforce adopted to analyse the capital markets, the intended shape of its final report and its views of the major issues facing New Zealand's capital markets. The progress report signals that the taskforce is on track to provide its final report by the end of the year.

Digital futures - planning for digital television and new uses
The MED and Ministry for Culture and Heritage have released a discussion paper to invite industry consultation on proposed changes to the VHF and UHF radio spectrum bands and on options for the transition of regional television to digital transmission. These matters are part of the upcoming switch-over of television broadcasting to digital-only transmission. Submissions close on 30 September 2009.

Ministry for the Environment

Minister welcomes Resource Management Bill report-back
The Local Government and Environment Select Committee reported back to Parliament on the Resource Management (Simplifying and Streamlining) Amendment Bill on 18 August 2009. The select committee endorsed the major reforms proposed by the bill, but has recommended that some further refinements be made in response to public submissions. Recommended changes to the bill include:

  • not proceeding with the removal of the non-complying activity class as the transitional costs exceeded the benefits;
  • not limiting the rights of appeal on plans on the basis that the legal test for appeals would have been difficult to interpret;
  • strengthening the provisions to ensure the timely and efficient processing of resource consents;
  • deferring the changes around requiring authority decision making to the broader Phase II process;
  • limiting rather than removing further rounds of submissions on plan changes to ensure property rights are recognised; and
  • strengthening the process for national consenting and national environmental standards.

Environment Minister Nick Smith welcomed the report saying the committee's recommendations "will cut through costly red tape without compromising environmental protections".

The New Zealand Exchange (NZX)

NZX rule consultation for new clearing and settlement systems and infrastructure
Over the last 18 months, NZX has been working on implementing new clearing and settlement systems and infrastructure for its core trading markets and in anticipation of the introduction of a new derivatives market, namely, when the Settlement Systems, Futures and Emissions Units Bill is enacted. To become operational, and also to become a designated settlement system under the Reserve Bank of New Zealand Act 1989, among other things, the settlement system is required to have rules which govern the basis on which settlement instructions are given or received, settlement obligations are determined, calculated and effected, as well as rules which govern the action of those responsible for these functions. The Clearing and Settlement Rules, the New Zealand Depository Limited Operating Rules and (in part) the New Zealand Markets and Disciplinary Rules will constitute the rules of the designated settlement system. These will be approved in the course of the designation process. Changes are also required to the NZX Participant Rules, NZSX/ NZDX and NZAX Listing Rules to reflect the new clearing and settlement arrangements.

NZX has now released five Consultation Memoranda on the new clearing and settlement system. One provides an overview of the new settlement system and the relevant rules governing the entities interacting with NZX's markets and the inter-relationship between those rules. The other Consultation Memoranda provide a more detailed description of two new rule sets relating to the clearing and settlement system, the Clearing and Settlement Rules and Procedures and the Depository Operating Rules and Procedures, and amendments required to the existing NZSX/ NZDX & NZAX Listing Rules and NZX Participant Rules. International financial crisis group makes recommendations
The Financial Crisis Advisory Group, of which the New Zealand Securities Commission Chairman Jane Diplock is a member, has published its recommendations on financial reporting and standards setting. The report sets out four principles for standards setting: effective financial reporting, limitations of financial reporting, convergence of accounting standards and standards-setter independence and accountability.

Review of financial reporting by issuers Cycle 9
The Securities Commission has completed Cycle 9 of its Financial Reporting Surveillance Programme. It reviewed the annual reports of 24 issuers, with balance dates from 30 June 2008 to 31 December 2008. The report notes that although the overall quality of financial reporting by issuers in Cycle 9 was generally good in many areas, the Commission continued to find inadequacies in matters that were previously alerted to issuers in its news releases and in previous public reports.

The Commission notes that it remains of the view that the priority for issuers, auditors, standard-setters and other market professionals in the current economic environment is to ensure that complete and transparent disclosures are provided in the financial statements of issuers to restore investor and market confidence in the securities market. This requires, where necessary, the inclusion of explanatory disclosures to support the financial information that is presented.

The Commission also notes that New Zealand issuers should pay particular attention to improving their disclosures in relation to financial instruments, related parties, impairment testing as well as management judgements and estimates. Issuers should also carefully consider what information in addition to the minimum requirements should be disclosed in their interim financial statements.

SECURITIES ACT EXEMPTION NOTICE

The following Securities Act Exemption Notice has been published for this period:

Securities Act (Equity Partners Infrastructure Company No. 1 Limited) Exemption Notice 2009
This notice, which came into force on 14 August and expires on 31 December 2009, applies to an offer of ordinary shares in Equity Partners Infrastructure Company No. 1 Limited (EPIC). It exempts EPIC, subject to conditions, from regulation 23 of the Securities Regulations 1983. The effect of the exemption is to allow EPIC to include in its offer documents a statement (approved by NZX) relating to the listing of the shares on a securities market operated by NZX. Potential investors will be made aware of the existence of a covenant that requires the approval of a third party before EPIC can apply for listing, and the reasons for this covenant.

SECURITIES MARKETS ACT EXEMPTION NOTICE

The Securities Commission has issued the following notice under the Securities Markets Act 1988:

Securities Markets Act (New Zealand Post Limited Bonus Bonds) Exemptions Notice 2009
This notice came into force on 31 July 2009 and expires on the day after the date on which Part 4 of the Securities Markets Act 1988 is repealed (which is due to occur by Order in Council to be made under the Financial Advisers Act 2008 when that Act replaces Part 4). This notice exempts franchisees of New Zealand Post Limited (NZ Post), and employees of NZ Post and its franchisees, subject to conditions, from certain investment broker disclosure requirements of the Securities Markets Act 1988 in respect of payment for units in The Bonus Bonds Trust.

Takeovers Code (Life Pharmacy Limited) Exemption Notice 2009
This notice applies to acts or omissions occurring on or after 31 July 2009 and expires on 31 January 2010. The Takeovers Panel has granted exemptions for:

  • Cape Healthcare Limited from rule 7(d) of the Takeovers Code to the extent that rule 7(d) requires the notice of meeting to comply with rule 16(b)(ii) to (iv) of the Code in respect of any allotment of voting securities in Life Pharmacy Limited (LPL) to Cape Healthcare under the scrip offer to be made by LPL for Pharmacybrands Limited;
  • LPL from rule 16(b)(ii) to (iv) of the Code in respect of the notice of meeting.

Australian Government

Aspects of Market Integrity report released
The Corporations and Markets Advisory Committee has released its report Aspects of market integrity (June 2009).The report responds to a request for advice on a number of practices that have the potential to damage the integrity of the market and investor confidence, including:

  • directors' interests in the securities of listed companies and margin lending;
  • ‘blackout' trading by company directors;
  • spreading of false and misleading information; and
  • disclosure of information in the briefing of analysts.

The report notes that, while concerns about the practices may be heightened at a time when the market is under pressure and confidence has been shaken, they raise issues of continuing relevance.

ASIC expands relief for hardship withdrawals from frozen mortgage funds
ASIC has made changes to the existing hardship relief provisions relating to withdrawals from frozen mortgage funds. These changes expand the circumstances in which operators are able to make payments to fund members who demonstrate the need to access funds on hardship grounds. The changes include:

  • the cap on hardship withdrawals for each member is raised to $100,000 each calendar year, from $20,000 plus 50 per cent of the member's interest;
  • an investor can make up to four hardship withdrawals a calendar year, instead of a once-only withdrawal (subject to the overall cap of $100,000); and
  • hardship grounds are extended:
    • to cover a beneficiary of a deceased estate of a member where the beneficiary is suffering hardship; and
    • to make it clear a person unemployed for at least three months without other means may apply for hardship relief.

    As a result of its continued investigation into alleged price fixing in the air cargo industry, the ACCC has instituted proceedings in the Federal Court against Emirates. The ACCC alleges that between 2002 and 2006, Emirates entered into arrangements or understandings with other international air cargo carriers that had the purpose and effect of fixing the price of certain fuel surcharges, security surcharges and rates that were applied to air cargo carried by Emirates and other airlines. The ACCC alleges that the arrangements or understandings were reached in countries including Singapore, Indonesia, Hong Kong, United Arab Emirates and India.

    Court proceedings against four foreign marine hose manufacturers for allegedly giving effect to a global cartel agreement in Australia are underway following the service of documents. The ACCC alleges that between 2000 and 2007 Bridgestone (Japan), Dunlop Oil & Marine (UK), Parker ITR (Italy) and Trelleborg (France) engaged in price fixing, market sharing and other anti-competitive conduct when supplying marine hose.

    The ACCC has instituted class action proceedings against Allphones Retail Pty Ltd and three individuals seeking damages on behalf of 74 eligible current and former Allphones franchisees. The action was begun under the Trade Practices Act 1974 for alleged breaches of section 51 AC of the Act, which prohibits unconscionable conduct. It is based, in part, on existing ACCC Federal Court proceedings against the same parties.

"The ACCC has accepted court enforceable undertakings from R King Enterprises Pty Ltd, trading as Mocare (SA), after it supplied hydraulic trolley jacks that failed to comply with a mandatory product safety standard," ACCC deputy chairman Peter Kell said.
