Our tax team delivers general corporate tax advice, including corporate restructuring, securitisation and tax-efficient financing.

As well as corporate advisory work and advising on tax policy issues, we also assist clients to resolve disputes with the Inland Revenue Department and by appearing as counsel during tax litigation hearings. We also obtain IRD private rulings on a range of commercial tax issues and business proposals and have successfully liaised with the IRD on behalf of clients in a range of other matters including lobbying for legislative change.

Our experience includes structuring corporate organisations and joint ventures involving New Zealand or off-shore participants and raising finance on a tax-efficient basis. We also advise on the use of trusts both domestically and for international clients.

The team includes a strong indirect tax practice advising on GST in New Zealand and Australia, customs and excise duty, Accident Compensation (ACC) matters and carbon taxes.

The tax team works alongside corporate and commercial, banking and finance, and litigation practitioners in the firm, advising on transactions or disputes. Specifically, the tax team also advises on the drafting of tax and GST-related clauses in commercial agreements and reviews tax clauses in a range of other documents for banking, sale and purchase, and property transfer transactions.

Among some of the transactions were regularly advise on are:

  • business establishment and reorganisations (i.e. asset and share acquisitions and disposals, mergers and amalgamations)
  • on and off-market share buybacks
  • domestic diversification and overseas investment into New Zealand (i.e. inbound and outbound investment)
  • debts and other financial arrangements
  • cross-border structured finance transactions (for investors or promoters/arrangers)
  • the acquisition of real and personal property in New Zealand
  • managed funds, superannuation schemes and employee share and option schemes.
