2008

Auckland Regional Transport Authority smartcard project
Bell Gully is advising on the Auckland integrated fares system smartcard project, allowing commuters to travel on any form of public transport using just one ticket from 2010. The system will include automated gates, smartcard readers onboard buses and ferries, smartcard reload devices at selected rail and bus stations and ferry wharves, and the supply and support of computer hardware, software, networks and communications.

Siemens (NZ) Limited smart metering joint venture
Bell Gully advised Siemens (NZ) Limited on the establishment of a joint venture with Vector Limited, New Zealand's leading owner and manager of network infrastructures, to deliver advanced smart metering technology and operational services to customers throughout New Zealand.

ANZ National Bank telecommunications outsourcing
Bell Gully advised ANZ National Bank on the renewal of its telecommunications outsourcing to Telecom New Zealand.

2007

Group 4 Securicor (G4S) contract to supply the Department of Corrections
Bell Gully advised G4S, the world's leading provider of electronic monitoring services, on an agreement to provide home detention monitoring services to the Department of Corrections. G4S currently monitors around 36,000 offenders in the UK, the US and Israel, and partnered with New Zealand company ICON Group to provide the technology and deliver the equipment. The G4S web-based monitoring system allows seamless integration of radio frequency, voice verification and global positioning technologies. It also enables probation staff to access the system for information on an offender's movements from anywhere with an internet connection.

Alcatel-Lucent NZ agreement with Transpower NZ
Bell Gully advised Alcatel-Lucent NZ on its telecommunications network life cycle management agreement with Transpower NZ, the electricity national grid operator.

Datasquirt IPO
Bell Gully advised contact centre software company Datasquirt on the New Zealand aspects of its Australian IPO and ASX listing which raised A$7.2 million (NZ$8.4 million) to fund its international expansion plans.

Quest acquisition of AfterMail
Bell Gully acted for Quest, a US-based software company, on the purchase of AfterMail, a New Zealand company that develops software applications for archiving and organising email. The deal was achieved in a short time-frame of just a couple of weeks and featured a dozen exiting trusts and their protection, as well as complex intellectual property and source code issues. US$14 million, plus performance-related consideration of up to US$30 million.

TelstraClear's settlement and broadband access
Bell Gully advised TelstraClear on an agreement with Telecom by which Telecom supplies TelstraClear with unbundled bitstream services on commercial terms and on an accelerated basis, in lieu of a regulated service prescribed by the Commerce Commission. The final deal was negotiated in a very tight timeframe, while addressing numerous and complex issues on the regulatory framework and Commerce Commission decisions.

Business Process Outsourcing Agreement
We have advised on the restructuring and renewal of the Item Imaging (Cheque Processing) outsourcing agreement, acting for Bank of New Zealand (BNZ). In 1997 Bell Gully acted as lead legal advisor on a contract BNZ, ASB Bank, National Bank and EDS (New Zealand) for the outsourcing to EDS of all of the cheque processing work of each of those banks. The service was so successful that that contract was later renewed with Westpac also joining in 2006.

Rakon initial public offering
Bell Gully advised Rakon, a world leading high performance quartz crystal components manufacturer, on its initial public offering and listing on the New Zealand Stock Exchange. The team advised Rakon and its selling shareholder on a wide range of sale and listing options for the company, which has developed what it believes to be the world’s smallest GPS radio frequency receiver module. It was a very successful offer, heavily oversubscribed and raising NZ$66 million for a market capitalisation of about NZ$170 million.

Rakon Limited purchase of C-MAC MicroTechnology's Frequency Control Products division
Bell Gully advised New Zealand technology company Rakon on the acquisition of the Frequency Control Products division of C-MAC MicroTechnology of France. The acquisition was funded by a NZ$60 million equity placement to institutional and habitual investors.

Navman
We advised Navman on a wide range of commercialisation issues, including drafting and negotiating OEM licences, evaluation licences, design and development contracts, data licences, source code licences, software development kit licences, beta test agreements, as well as agreements for fleet management, system deployment, hosting, distributorships, partnerships and strategic alliances.

Acquisition of Cap Gemini NZ by Hewlett Packard
Bell Gully advised leading global technology company Hewlett Packard on the acquisition of an IT consulting business operating under licence from Cap Gemini. The deal involved working with Hewlett Packard counsel in Australia and Japan on this wholly New Zealand transaction.
